What this document is

This document defines the UNIONE™ Dispute Prevention Certificate (DPC) - the world's first pre-dispute institutional review and certification standard for cross-border commercial contracts. The DPC Standard establishes the scope, six review checkpoints, Standing Neutral appointment protocol, registry requirements, fee structure, and governing rules for all DPC instruments issued by UNIONE™.

The DPC Standard is published openly and versioned. Lawyers, General Counsels, and contracting parties may incorporate it by reference into any cross-border commercial contract. UNIONE™ is the sole issuing institution.

01Preamble - The Market Gap

Every year, more than USD 150 trillion in cross-border B2B transactions are executed - supply agreements, joint ventures, construction contracts, technology licences, energy offtake agreements, M&A structures, and financial instruments spanning dozens of jurisdictions. Every one of these transactions carries dispute risk.

The conventional approach is: sign the contract, insert an arbitration clause, and hope that nothing goes wrong. When something does go wrong - and in cross-border commerce, the historical dispute rate across major sectors is 12–18% - the parties spend 18 to 36 months and hundreds of thousands of dollars on formal arbitration proceedings. The ICC alone had 831 new arbitration cases registered in 2024 with USD 354 billion in total pending dispute value.

The UNIONE™ Dispute Prevention Certificate closes this gap. It is a formal institutional act - not advisory, not consulting - through which UNIONE™ reviews, validates, certifies, and monitors a cross-border commercial contract from the moment of signature through the life of the transaction.

02Definitions
Dispute Prevention Certificate (DPC)
A numbered, dated institutional certificate issued by UNIONE™ confirming that a specified cross-border commercial contract has completed the six DPC checkpoints, that a Standing Neutral has been appointed, and that the contract has been entered into the UNIONE™ DPC Registry.
DPC Standard
This document - the published, versioned framework defining the scope, checkpoints, appointment protocol, registry requirements, fee structure, and governing rules for all DPC instruments.
Standing Neutral
A vetted UNIONE™ Fellow, designated AF.UNIONE™, F.UNIONE™, or SF.UNIONE™, appointed by UNIONE™ at the DPC intake stage to serve as an institutional monitor, early-warning mechanism, and structured resolution facilitator.
DPC Registry
The publicly searchable institutional record maintained by UNIONE™ at dpc.theunione.org, listing all active and completed DPC certificates by number, sector, governing law, seat, Standing Neutral designation, and issue date.
03Scope of Application

The DPC is available for any cross-border commercial contract meeting all three criteria: parties in at least two different countries, contract value USD 500,000 or above, and commercial or investment activity.

The dispute resolution clause is reviewed for clarity, enforceability, and consistency with the applicable governing law and seat of arbitration.

Governing Law & Seat Alignment
The relationship between governing law and proposed seat is reviewed for enforcement coherence.
CP 3
Enforcement Jurisdiction Mapping
Jurisdictions where parties may seek enforcement are assessed under the New York Convention.
CP 4
Milestone Trigger Definitions
Contractual obligations, payment milestones, and force majeure provisions are reviewed for clarity.
CP 5
Confidentiality & Without-Prejudice Scope
Confidentiality provisions covering the DPC process are confirmed as adequate.
CP 6
Escalation Pathway Integrity
The full escalation pathway from DPC monitoring through arbitration is confirmed.
05Standing Neutral - Appointment & Role

UNIONE™ appoints the Standing Neutral from the vetted UNIONE™ Fellows bench. On occurrence of a Trigger Event, the Standing Neutral is activated within 72 hours, facilitating structured dialogue and providing neutral evaluation.

06The DPC Registry

UNIONE™ maintains a public DPC Registry at dpc.theunione.org. Each entry contains DPC certificate number, issue date, contract sector, governing law, seat, Standing Neutral, and status.

08Governing Rules & Legal Framework

The DPC operates under UNIONE™ International Arbitration & Dispute Resolution Rules v3.0, specifically Articles 8 through 12 (the Prevention Phase).

09Recommended DPC Contract Clause
UNIONE™ Dispute Prevention Clause
"The parties agree that this Agreement shall be submitted for Dispute Prevention Certification under the UNIONE™ DPC Standard v1.0 (or such later version as may be in force at the time of submission), administered by UNIONE™ International Arbitration & Dispute Resolution System in accordance with its Rules v3.0. A Standing Neutral shall be appointed by UNIONE™ for the duration of this Agreement. The parties accept the UNIONE™ DPC Standard as incorporated by reference into this Agreement."
This clause is standalone. It operates independently of any arbitration clause and does not constitute an agreement to arbitrate.
10How to Apply for a DPC

Submit the contract and completed DPC Application Form at theunione.org/eoi/.

UNIONE™ conducts the six-checkpoint review. Takes 3–5 business days for Standard tier.

UNIONE™ issues a DPC Advisory Report identifying risks and proposed Standing Neutral.

UNIONE™ issues the DPC Certificate and enters the contract into the DPC Registry.
